Introduction
Welcome to Crowderbloom, a crowdfunding platform operated by CROWDER INC (“Crowder Inc.,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of the Crowderbloom platform, including any related mobile applications, services, tools, and features (collectively, the “Platform”). By accessing or using the Platform, you (“User,” “Creator,” or “Backer”) agree to be legally bound by these Terms.
If you do not agree with these Terms, you may not use the Platform.
Eligibility
- To use the Platform, you must be at least 18 years of age (or the legal age of majority in your jurisdiction).
- Have the legal capacity to enter into binding agreements.
- Not be barred from using the Platform under applicable laws, including AML/KYC regulations.
Definitions
- Creator – A user who launches and manages a crowdfunding campaign.
- Backer – A user who supports a campaign financially.
- Campaign – A fundraising project created on the Platform.
- Pledge – A monetary or cryptocurrency contribution made by a Backer.
- All-or-Nothing Funding – Funding model where funds are only released if the funding goal is met.
- Flexible Funding – Funding model where funds are released regardless of whether the goal is met.
Account Registration
- Users must create an account to launch or back campaigns.
- You agree to provide accurate, current, and complete information.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must immediately notify us of any unauthorized use of your account.
Use of the Platform
You agree not to:
- Use the Platform for unlawful purposes.
- Engage in fraud, misrepresentation, or prohibited activities.
- Upload or share harmful content (malware, offensive materials, copyrighted works without authorization).
- Attempt to circumvent our security or payment systems.
We reserve the right to suspend or terminate accounts violating these Terms.
Campaign Rules for Creators
- Campaigns must be honest, accurate, and comply with applicable laws.
- Rewards offered must be deliverable.
- Creators are solely responsible for fulfilling promises made to Backers.
- Crowder Inc. is not a guarantor of any campaign or reward delivery.
- Campaigns involving prohibited items (e.g., illegal goods, weapons, hate content, financial scams) will be removed.
Backer Responsibilities
- Backing a campaign is voluntary and may involve risks.
- Crowder Inc. is not responsible for a Creator’s failure to deliver rewards.
- Refunds are handled per our Refund Policy.
Payments & Fees
- Payments may be made via credit/debit card, PayPal, or cryptocurrency.
- By pledging, Backers authorize the payment processor or blockchain transaction.
- Crowderbloom charges:
- 5% service fee on successful campaigns funded via traditional methods.
- 3% service fee on campaigns funded via cryptocurrency.
- Payment processors may charge additional fees.
Cryptocurrency-Specific Terms
- Crypto transactions are irreversible once confirmed.
- Backers must ensure correct wallet addresses are used.
- Creators receiving crypto must comply with local regulations and tax obligations.
- We support selected cryptocurrencies and stablecoins as listed on the Platform.
Taxes
Creators are responsible for reporting and paying applicable taxes related to funds received. Crowder Inc. does not provide tax or legal advice.
Intellectual Property
- Users retain ownership of content they post but grant Crowder Inc. a worldwide, royalty-free license to use, reproduce, and display campaign materials for promotional purposes.
- All platform content (design, trademarks, software) is owned by Crowder Inc. and protected by intellectual property laws.
Disclaimer of Warranties
The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. Crowder Inc. makes no warranties, express or implied, regarding reliability, availability, or fitness for a particular purpose.
Limitation of Liability
To the fullest extent permitted by law, Crowder Inc. shall not be liable for:
- Any indirect, incidental, or consequential damages.
- Campaign failures, Creator misconduct, or Backer losses.
- Losses arising from cryptocurrency volatility or transaction errors.
AML & Compliance
Crowder Inc. complies with applicable Anti-Money Laundering (AML) and Know Your Customer (KYC) regulations. Users may be required to submit identification documents. Suspicious activity will be reported to authorities.
Termination
We may suspend or terminate your account at any time for violations of these Terms or applicable laws.
Governing Law
These Terms shall be governed by and construed under the laws of the State of Florida, United States, without regard to its conflict of law principles.
Dispute Resolution
Disputes will first be attempted through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Orlando, Florida, unless otherwise required by law.
Amendments
We reserve the right to update these Terms at any time. Updates will be posted on this page with a revised effective date.
